1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the AedifyHQ website at aedifyhq.com and any services provided by AedifyHQ LLC ("AedifyHQ", "we", "us", or "our"), an AI implementation consultancy based in Kansas City, Missouri. By accessing our website or engaging our services, you agree to be bound by these Terms.

2. Services

AedifyHQ provides AI implementation consultancy services for small and medium businesses, including but not limited to:

• AI-powered website design, development, and hosting
• AI chatbot implementation and management
• Business workflow automation
• Google Workspace setup and integration
• AI strategy consulting and business optimization

All services are done-for-you implementations — we design, build, and manage solutions on behalf of our clients. We are not a self-serve software platform.

3. Acceptable Use

You agree not to use our website or services to:

• Violate any applicable laws or regulations
• Transmit harmful, fraudulent, or misleading content
• Infringe on the intellectual property rights of others
• Attempt to gain unauthorized access to our systems
• Engage in any activity that disrupts or interferes with our services

4. AI Disclaimer

Our services involve AI-generated content and automated outputs. You acknowledge that:

• AI outputs may occasionally be inaccurate, incomplete, or require human review
• You should review AI-generated content before relying on it for important business decisions
• AedifyHQ is not liable for decisions made based solely on AI-generated outputs without appropriate human oversight
• AI systems are continuously improving and behavior may change over time

5. Fees and Payment

Fees for services are determined by mutual agreement and outlined in a project proposal or service agreement prior to commencement of work. Standard pricing is published on our website as a reference, but final pricing is customized to each client's specific needs. Payment terms are specified in individual service agreements. We reserve the right to suspend services for non-payment.

6. Intellectual Property

Client content: You retain ownership of all content, data, and materials you provide to AedifyHQ for use in your project.

Deliverables: Upon full payment, you own the website content and custom configurations we create specifically for your business.

Platform and methods: AedifyHQ retains ownership of our proprietary methodologies, frameworks, tools, and underlying platform infrastructure. Nothing in these Terms grants you a license to our proprietary technology beyond what is necessary to use the services we provide to you.

7. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the course of the engagement. AedifyHQ will not disclose your business data, client information, or proprietary processes to third parties without your consent, except as required by law or to operate the services (e.g., AWS infrastructure).

8. Limitation of Liability

To the maximum extent permitted by applicable law, AedifyHQ LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our services. Our total liability for any claim shall not exceed the total fees paid by you to AedifyHQ in the three months preceding the claim.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or that defects will be corrected.

10. Termination

Either party may terminate a service agreement with written notice as specified in the individual service agreement. Upon termination, you remain responsible for fees incurred up to the termination date. AedifyHQ may terminate access to services immediately for material breach of these Terms or non-payment.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Jackson County, Missouri.

12. Changes to Terms

We reserve the right to update these Terms at any time. We will post the updated Terms on this page with a revised "Last updated" date. Continued use of our services after changes constitutes acceptance of the updated Terms.
